This agreement (The 'Agreement') specifies the terms and conditions for participation in the 'Bingo4Affiliates' affiliate program. The applicant (hereinafter "you", "your" or "affiliate") must agree to the following terms and conditions in order to be an authorized affiliate of Bingo4Affiliates (hereinafter "we", "our" or "us") – The ‘Affiliate’ and ‘Bingo4Affiliates’are independent parties and this agreement shall not form any partnership between the two. We reserve all rights, at our sole discretion, to reject any application to participate in this affiliate program. I. Bingo4Affiliates is in the business of creating, advertising and promoting online bingo game websites which are accessible through any desktop station or laptop with LAN connection. II. With this affiliate program we desire to market, advertise and promote the aforesaid service under the names associated sites. III. In order to enroll as a member of Bingo4Affiliates Affiliate Program, you must to give your acceptance of this agreement and its terms and conditions mentioned here under: Terms and conditions A. License: We grant you the non-exclusive, non-transferable license to advertise, promote and market our partner customers, in accordance to the terms and conditions contained herein. A.1 No licensed material including without restriction, logos, links, trade names, trademarks and other such material shall be alerted, modified or changed in anyway. A.2 During your term as our affiliate, you are entitled to use all the licensed materials on your site. A.3 An affiliate must confirm that all the links on his/her site are placed strategically and are updated regularly. A.4 The terms and conditions of this license can be changed or updated anytime at the sole discretion of Bingo4Affiliates without any prior notice. B. Duration of agreement: The term of this agreement will begin upon our acceptance of your affiliate application and will continue until terminated by either party. C. Termination: bAgreement can be terminated by either party at anytime, with or without reason, by giving the other party notice in the form of email or post. D. Amendments/ Modifications: We reserve the right to change or modify any of the terms and conditions contained herein, at our sole discretion, by posting a “Change Notice” on this site. If any of the modifications are not acceptable to you, your only option is to call off this agreement. If you continue participation in the program following the posting of a change notice on our site, it will be considered as your acceptance of the changes so made. E. Limitations of Liability: Under any circumstances, we shall not be held liable for any direct or indirect, special or consequential damages whatsoever, including, but not limited to, loss of revenue, expected profits, data or loss of business, even if we are aware of such possibilities. On no account shall Bingo4Affiliates’ aggregate liability to you exceed the total commission fees payable under the agreement. F. Payment: At bingo4affilites, we work on revenue sharing commission structure. You will receive up to 50%* of the revenue as commission for every deposit made from your referral. You are entitled to commission, only if your referred player makes the minimum required deposit with us. We pay our affiliates either via check or any one of the following E-payment options - Neteller, Moneygram, Western Union, ECO Card or Wire Transfer. Any chargebacks or returned checks will be adjusted towards affiliate revenue. Commission can only be earned between the acceptance of the Affiliate application and notice of termination. Service tax will be levied where applicable. G. Bingo4Affiliates’ obligations: G.1 As our affiliate you’ll gain access to Bingo games, an affiliate account, personalized reports, banner inventory and all other standard services that we offer. G.2 We will determine the content for the service and may change it anytime.G.3 We reserve the right to disqualify an affiliate or withhold any commissions due, at our sole discretion.G.4 We can alter any part of game at anytime, without any prior notice to affiliate, in whatever manner deems correct. G.5 We can anytime cancel or withdraw any part of the service, without any prior notice to affiliate, in whatever manner deems correct. H. The Affiliate’s obligations: H.1 The affiliate must place active links on his/her website. At anytime, you may place or remove whatever links as you so elect. H.2 Affiliates must place links with the sole intention of rendering valid clicks. H.3 You will not use any banners or links other than those available in our banner inventory. You must also ensure that you will not later alter the appearance of banners approved by us without our knowledge. H.4 You must agree to market the product in a manner that is compatible with the style of the game and content of the website. We shall have right to review, from time to time, the marketing and advertising measures adopted by you in relation to the game. Approval may be withheld by Bingo4Affiliates in its sole discretion if it is determined that any such activities would impair our goodwill or market reputation, or would expose us to legal liability. H.5 You must also agree to provide us correct, complete and non-misleading information regarding your identity and practices. I. Indemnity: Affiliate shall defend, indemnify, and hold Bingo4Affiliates harmless from and against any and all liabilities, losses, damages, and costs, including, without limitation, reasonable attorney's fees, relating to: (a) Any breach by you of any warranty, representation, or agreement contained in this Agreement. (b) The performance of your duties and obligations under this Agreement. (c) Your negligence or any injury caused directly or indirectly by your negligent or intentional acts or omissions, or the unauthorized use of our banners and link or this Affiliate Program. J. Website restrictions: Bingo4Affiliates reserves the right not to accept any site into our affiliate program based on site content. Sites that Do Not Qualify for the Bingo4Affiliates Affiliate Program include sites such as sites that are: • X- rated and promote sexually explicit materials • Promoting violence and discord • Promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age • Promoting illegal or questionable activities • Violating intellectual property rights K. Spam (UCE): Unsolicited Commercial E-mail – We in no way participate in mass unsolicited e-mailing or SPAMMING, and so, we expect all our Affiliates to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the Bingo4Affiliates Affiliate Program, without any refund. DISCLAIMER We make no express or implied warranties or representations with respect to the ‘Bingo4Affiliates’ Affiliate Program or your potential to earn income from the ‘Bingo4Affiliates’ Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. This Agreement will be governed by the laws of the United States. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
